TERMS & CONDITIONS

I. Introduction

These Terms and Conditions ("Terms") govern the relationship between you (hereinafter referred to as "Client" or "you") and TWG Digital India Private Limited (hereinafter referred to as "TravelerWe", "company", "we", or "us"). By booking any tour or service with TravelerWe, you agree to be bound by these Terms. Please read them carefully.

II. The Parties

TWG Digital India Private Limited is a registered company under the Companies Act, 2013 (hereinafter referred to as the “Agency”), with its registered office at Innov8 Solitaire Corporate Park, 7th Floor, Unit no. 1171,1172, Solitaire Corporate Park, Andheri (E), Mumbai – 400093. We offer a range of travel services, including group travel, customized trips and backpacking & biking trips across India and international destinations.

WHEREAS, the Agency is a professional travel agency that provides a variety of travel-related services to its clients;

WHEREAS, the Client is desirous of availing the travel-related services provided by the Agency and has expressed interest in entering into this Agreement;

WHEREAS, the Parties have mutually agreed to enter into this Agreement, whereby the Agency will provide travel-related services to the Client in accordance with the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:

III. Services

The Agency agrees to provide a comprehensive range of travel-related services (hereinafter referred to as the “Services”) to the Client. These Services include, but are not limited to:

  1. Group Travel: Organized tours for groups to various destinations.

  2. Customized Trips: Tailor-made itineraries to suit individual or group preferences.

  3. Backpacking & Biking Trips: Adventure-oriented and budget-friendly trips for individuals and groups.

These Services encompass follows:

A. Accommodation Booking

  1. Finding Suitable Accommodations: The Agency will assist the Client in finding and booking suitable accommodations based on the Client’s preferences and budget. This includes researching various options, comparing prices, and ensuring the chosen accommodations meet the Client’s needs.

  2. Handling Communication: The Agency will handle all communication with the accommodation providers. This includes confirming reservations, making changes if necessary, and addressing any issues that may arise during the Client’s stay.

B. Flight Reservations

Generally, it is the responsibility of the client to make the travel arrangements to reach to the destination, however, in special cases on specific requests of the client, the agency provides following services under this head:

  1. Searching for Flights: The Agency will search for the best flight options according to the Client’s schedule and budget, if the client desires.

  2. Booking Flights: The Agency will book the selected flights on behalf of the Client. This includes handling all necessary paperwork and ensuring the Client receives all relevant flight information. It is to be noted here that it is the responsibility of the client to stay updated about any delays, cancellations or changes in departure or arrival times directly with the Airline after booking by the agency.

C. Tour Arrangements

  1. Suggesting Tours: The Agency will suggest and arrange tours and activities based on the Client’s interests. This includes providing detailed descriptions about tour options and any other relevant information.

  2. Providing Information: The Agency will provide detailed information about tour options, including the itinerary, duration, and cost. This allows the Client to make an informed decision about which tour to participate in.

  3. Handling Bookings: The Agency will handle all bookings and payments for the tours. This includes confirming reservations, making changes if necessary, and addressing any issues that may arise during the tour to the extent of the company policy.

D. Other Related Activities

  1. Providing Assistance: The Agency may provide assistance with other travel-related activities as requested by the Client. This includes arranging transportation, recommending restaurants, and providing information about local attractions.

  2. Ensuring Client’s Interests: The Agency will strive to ensure the best interests of the Client’s are met. This includes taking into consideration the Client’s preferences and budget.

  3. Providing Necessary Information: The Agency will try to provide the Client with all necessary information pertaining to the Services, including details on booking conditions, visas, health, insurance, and travel warnings. This ensures the Client is fully informed and prepared for their trip.

IV. Reservation and Payment Terms

The Client agrees to promptly provide all information necessary for booking the Services. The payment for the Services shall be made by the Client in the following manner:

A. Payment Terms

  1. Payments must be made by the client according to the Payment Policy provided at Annexure A (Payment & Cancellation Policy).

  2. Late Payments: Failure to make timely payments may result in non-confirmation of the reservations without further notice. This policy is in place to ensure the Agency can meet its commitments to its service providers.

  3. Late Payment Fee: In case of late payment, the Agency may impose a late payment fee of [10]% of the outstanding amount or the incremental cost, whichever is higher. This fee compensates the Agency for the additional administrative work involved in handling late payments.

B. Payment Methods

  1. Bank Transfer: The Client can make the payment through bank transfer. This method is convenient and secure, ensuring the Client’s payment is received promptly.

  2. Credit Card Etc.: Alternatively, the Client can also pay through credit card, debit card, UPI or any other valid mode of transfer of money. This provides the Client with other options for making payment, allowing them to choose the method that is most convenient for them. However, some payment methods may incur additional cost, which will be intimated in advance by the Agency at the time of booking.

  3. Currency: All payments should be made in INR with exchange rates applied based on the prevailing Rate of Exchange (ROE) on the day of final payment. This ensures consistency and clarity in all financial transactions.

NOTE:

Government Compliance:

As per current Indian government regulations, 5% TCS (Tax Collected at Source) will be applicable on all payments for international travel.

Further, 20% TCS will be applicable on payments for international travel exceeding ₹10 lakhs in a financial year. It is the responsibility of the Client to forthwith intimate the Agency if they cross the current threshold of ₹10 lakhs fixed by the Indian Government. Failure to do the same, the client undertakes to indemnify the Agency from losses, if any, incurred by the Agency on this account.

V. Pricing and Inclusions

  1. Pricing Policy: Prices are based on current availability and foreign exchange rates. The final price will be confirmed at the time of booking and may be subject to change based on fluctuations.
  2. Inclusions and Exclusions: The services included in your package will be detailed in your booking confirmation. Any services not explicitly mentioned are excluded and must be paid for separately.

VI. Cancellation and Refunds

All cancellations must be submitted in writing to the Agency. The Client may cancel the Services subject to the following conditions:

A. Cancellation Notice and Fees

  1. Cancellation charges apply as per the cancellation policy provided at Annexure A (Payment & Cancellation Policy).

  2. Non-Refundable Charges: Cancellation charges are non-negotiable and non-refundable. This includes cases of visa rejection where standard cancellation policies apply.

  3. Responsibility of Travel Documents: Clients are responsible for thoroughly reviewing all details of their travel documents, such as visas and travel insurance, before the trip commences. Any discrepancies or errors should be addressed promptly.

  4. No-Show: In case of no-show, no refund will be given. This policy is in place because the Agency would have made all the necessary arrangements and would not be able to recover these costs.

  5. Credit Notes: In most cases, credit notes may be provided instead of refunds.

B. Refund Processing

  1. Refund Eligibility: Refunds, if applicable, will be processed within [14] days of the Agency receiving a valid cancellation notice. This ensures the Client receives their refund in a timely manner.

  2. Refund Method: The refund will be issued to the original payment method used by the Client. This ensures the refund is received by the correct person.

  3. Refund Confirmation: The Agency will provide the Client with a confirmation of the refund, including the amount and the date it was processed.

VII. Itinerary Changes

  1. Modification by Agency: There may be slight modifications in the planned itinerary/tour programme due to administrative exigencies, for which no claim of any kind would be entertained. Any such changes will be communicated promptly by the Agency.
  2. Modifications beyond our control: We reserve the right to alter itineraries, accommodations, or transportation arrangements due to unforeseen circumstances, including weather conditions, political unrest, or other factors beyond our control. Any changes will be communicated promptly.
  3. Group Tours: Group tours will operate subject to a minimum group strength of 12 full-paying passengers. If the minimum group size is not met, or due to cancellations, an alternative date or tour option may be provided. Refunds or credit notes will be issued for land portions, minus any non-refundable expenses such as visa fees.
  4. On-Tour Changes: During the tour, itinerary changes may occur due to natural calamities or safety considerations. The agency will strive to minimize any disruptions to your travel experience.

VIII. Liability and Insurance

The Agency will not be held responsible for any losses, damages, injuries, or additional expenses suffered by the Client due to causes beyond the Agency’s control. These causes include, but are not limited to:

A. Force Majeure Events

  1. Natural Disasters: This includes events such as earthquakes, floods, hurricanes, and other severe weather events that could disrupt travel plans.

  2. Acts of Terrorism: This includes any acts of violence or threats intended or eventually amounted to disrupt travel and cause fear.

  3. Civil Unrest: This includes riots, strikes, or other forms of civil disorder that could make travel unsafe.

B. Accidents

  1. Travel Accidents: This includes accidents that occur while traveling, such as car accidents, plane crashes, or other transportation-related accidents.

  2. Accommodation Accidents: This includes accidents that occur at the booked accommodations, such as slips, falls, or other incidents.

C. Insurance Recommendation

  1. Comprehensive Travel Insurance: The Client is strongly advised to procure comprehensive travel insurance to cover such eventualities. This insurance should cover medical expenses, trip cancellation, lost luggage, flight accident, and other losses incurred while traveling. The agency is not responsible for losses not covered by insurance.

  2. Insurance Provider: The Client is free to choose their own insurance provider. The Agency can provide recommendations if needed.

  3. Insurance Confirmation: The Client should provide the Agency with confirmation of their travel insurance before the service commencement date. This ensures the Agency can assist the Client in the event of an emergency.

IX. Health and Safety

  1. Health Requirements: Clients are responsible for meeting all health requirements, including vaccinations, for their destination(s). Any existing medical conditions must be disclosed to the agency prior to booking.
  2. Safety Guidelines: Clients must adhere to all safety instructions provided during their trip. Failure to do so may result in termination of the tour without refund.
  3. Adventure Activities: Clients participating in adventure activities do so at their own risk and must ensure they are medically fit to do so. The agency is not liable for any injury or loss of life resulting from such participation.

X. Passports, Visas and Travel Documents

  1. Client Responsibility: It is the client's responsibility to obtain and maintain valid travel documents, including passports and visas. The agency is not liable for any issues arising from the lack of necessary documents.
  2. Visa Assistance: While the Agency may assist in the visa application process, approval of visas is at the discretion of the respective embassies or consulates.
  3. OTB Requirement: For ECR passport holders, an OTB (OK to Board) requirement may be necessary depending on the destination.
  4. Document Validity: Passports must be valid for at least six months from the date of return to India. For domestic travel, a government- issued ID card with a photograph is required.

XI. Airline Guidelines

  1. Flight Delays and Cancellations: The agency is not responsible for any delays, cancellations, or disruptions caused by airlines. Clients must contact the airline directly for assistance.
  2. Baggage: The agency is not liable for baggage delays or losses caused by airlines. Travelers must manage such issues directly with the airline.
  3. Additional Airline Charges: Any increase in government taxes, airfare, fuel surcharges, or airline taxes charged by the airlines before the issuance of flight tickets will be charged extra, irrespective of the booking date.
  4. Flight Meals: Complimentary meals on flights depend on the type of carrier booked. Low-Cost Carriers (LCC) may not include meals or water as part of the ticket price.

XII. Accommodation Guidelines

  1. Check-In/Check-Out Times: Standard check-in time is 3 PM, and check-out time is 11 AM, subject to hotel policies. Early check-in or late check-out may incur additional charges.
  2. Room Allocation: Room sizes and amenities may vary based on the destination and hotel category. Air-conditioned rooms may not be available in certain regions, such as Europe and domestic hill stations in India. Clients are responsible for any damages incurred during their stay.
  3. Additional Hotel Charges: City tax, mini-bar usage, and room services, if applicable, must be paid directly at the hotel.
  4. Hotel Changes: The agency reserves the right to change hotels due to unforeseen circumstances. Clients will be informed of such changes as soon as possible.

XIII. Transfers and Sightseeing

  1. Transfers: Transfers are arranged according to the itinerary and are not on a disposable basis. Clients must be punctual for all transfers as delays may affect the overall itinerary.
  2. Sightseeing: Sightseeing activities may be subject to change or cancellation due to local conditions. No refunds or compensation will be provided for unused services.
  3. Self-Arranged Transfers: For certain customized trips, clients may be required to arrange their own transfers to departure points. The agency will provide guidance on nearby accommodation if necessary.

XIV. Limitation of Liability

  1. Third-Party Services: The agency acts as an intermediary between clients and third-party service providers (hotels, airlines, transporters, etc.). The agency is not liable for any loss, injury, or damage caused by these third parties.
  2. Force Majeure: The agency is not liable for any failure to perform its obligations due to events beyond its control due to reasons including but not limited to natural disasters, wars, strikes, or pandemics. In such events Tour Cancellation & Rescheduling Policy will be applicable, which is annexed as Annexure B.
  3. Liability for Personal Belongings: The agency is not responsible for the loss of personal belongings, including passports, Aadhar cards, PAN cards, driving licenses, etc., during the tour.

XV. Conduct and Behaviour

  1. Code of Conduct: Clients are expected to behave respectfully towards fellow travellers, local customs, and laws. Misconduct may result in the termination of services without a refund.
  2. Responsibility for Damages: Clients will be held responsible for any damages or losses caused by their actions during the trip.

XVI. Privacy and Data Protection

  1. Data Collection: The agency collects personal data to provide travel services. This data will be handled in accordance with our Privacy Policy, compliant with the Indian Information Technology Act, 2000.
  2. Data Sharing: Client data may be shared with third-party service providers as necessary for fulfilling the tour services.

XVII. Acceptance of Terms

By booking a tour with the Agency, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. These Terms constitute the entire agreement between you and the agency regarding your use of our services.

XVIII. Amendments

The Client and the Agency acknowledge that the nature of travel services may require changes and adjustments from time to time. Therefore, any amendments to the booked Services must be agreed upon in writing by both parties.

A. Request for Amendments

  1. Client’s Request: The Client may request changes to the booked Services. This could include changes to the travel dates, destinations, accommodations, or other aspects of the Services.

  2. Agency’s Assessment: Upon receiving the Client’s request, the Agency will assess the feasibility of the requested changes. This includes checking availability, pricing, and any potential impact on other aspects of the Services.

  3. Written Agreement: Any changes to the booked Services must be agreed upon in writing by both parties. This ensures that both parties have a clear understanding of the changes and their implications.

  4. Confirmation of Changes: Once the changes have been agreed upon, the Agency will provide the Client with a written confirmation of the changes. This will include a detailed description of the changes and any additional costs associated with them.

  5. Implementation of Changes: The Agency will then implement the changes as agreed upon. This includes making any necessary adjustments to the travel arrangements and informing relevant third parties of the changes.

B. Administrative Fee

  1. Fee for Changes: The Agency reserves the right to charge an administrative fee for any changes made at the request of the Client. This fee is to cover the additional work required to implement the changes.

  2. Notification of Fee: The Agency will inform the Client of the amount of the administrative fee before making the changes. The Client must agree to this fee before the changes can be made.

  3. Payment of Fee: The Client will be required to pay the administrative fee at the time the changes are made. This fee is separate from any additional costs associated with the changes themselves.

  4. Non-Refundable Fee: The administrative fee is non-refundable, even if the Client later decides to cancel the changes.

C. Additional Charges

  1. Cost of Changes: All additional charges arising from such amendments are to be borne by the Client. This includes any increase in costs due to changes in travel dates, upgrades to accommodations, or other changes to the Services.

  2. Notification of Additional Charges: The Agency will inform the Client of any additional charges before making the changes. The Client must agree to these charges before the changes can be made.

  3. Payment of Additional Charges: The Client will be required to pay these additional charges in accordance with the payment terms outlined in this Agreement.

  4. Non-Payment of Additional Charges: If the Client fails to pay the additional charges, the Agency may refuse to implement the changes or may cancel the Services altogether.

  5. Refunds of Additional Charges: If the changes result in a decrease in costs, the Agency will refund the difference to the Client or may issue a credit note on its sole discretion.

XIX. Governing Law

A. Jurisdiction

  1. Exclusive Jurisdiction: Any legal actions, claims, or disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Mumbai, India.

  2. Submission to Jurisdiction: By entering into this Agreement, the Client and the Agency agree to submit to the jurisdiction of the courts of Mumbai, India for any legal proceedings arising out of this Agreement.

  3. Venue: The parties agree that any legal proceedings will be conducted in Mumbai, India where the Agency’s principal office is located.

B. Applicable Law

  1. Interpretation of Agreement: This Agreement will be interpreted in accordance with the laws of the State of Maharashtra. This includes any issues relating to the validity, interpretation, or enforcement of the Agreement.

  2. Resolution of Disputes: Any disputes arising under or in connection with this Agreement will be resolved in accordance with the laws of the State of Maharashtra. This includes any issues relating to the Services, payment terms, cancellation and refunds, or any other aspect of this Agreement.

  3. Compliance with Laws: The Client and the Agency agree to comply with all applicable laws of the State of Maharashtra in performing their respective obligations under this Agreement. This includes any laws relating to travel services, consumer protection, data protection, and health and safety.

C. Legal Actions

  1. Notice of Legal Actions: The party initiating legal action must provide the other party with written notice of the action. This notice must include a description of the dispute, the relief sought, and any relevant supporting documentation.

  2. Resolution of Legal Actions: The parties agree to make a good faith effort to resolve any legal actions, claims, or disputes arising under or in connection with this Agreement through mediation before resorting to litigation.

  3. Costs of Legal Actions: Unless otherwise provided in this Agreement, each party will bear its own costs and expenses in connection with any legal actions, claims, or disputes arising under or in connection with this Agreement.

XX. Entire Agreement

This Agreement represents the complete understanding between the Client and the Agency with respect to the subject matter hereof.

XXI. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
